PAGE PAGE 22 我国上市公司内部治理结构对现金持有量的影响研究 摘要：本论文在结合当前研究背景的前提下，首先对国内外上市公司内部治理结构对现金持有量的影响研究的现状进行了分析，接着以代理成本理论为基础，从管理层与股东的代理问题、大小股东的代理问题入手，提出了两类代理问题下各内部治理因素对现金持有量影响的假设，并通过建立模型实证分析各内部治理因素与现金持有量之间的关系以对提出的假设进行验证。最后，本文在得出结论的同时也尝试提出完善上市公司治理结构以调整现金持有量、保护企业现金安全、改善企业生存环境的具体建议。 关键词：现金持有量；内部治理结构；代理成本理论；代理问题 A Study on the Influence of Chinas Listed Companies’ internal governance structure on cash holdings Abstract: Firstly, combined with the current background of the premise, this paper analyses the current research status of the influence of listed companies’ internal governance structure on cash holdings. Secondly, based on the agency cost theory, this paper proposes some hypothesis about the influence of Listed Companies’ Internal governance factors on cash holdings from the agency problem between management and shareholders、major shareholders and minority shareholders. Then, this paper analysis the relationship between Listed Companies’ internal governance factors and cash holdings to verify the proposed hypothesis by establish some models. Finally, this paper also tries to put forward some specific recommendations to improve the corporate governance structure in order to adjust the cash holdings, to protect the cash security and to improve the living environment of enterprises. Keywords: Cash holdings; internal governance structure; agency cost theory; agency problem 一、 绪论 (一) 研究背景及意义 现代财务管理有一个核心理念，即“现金为王”，在流动性最强的之一，现金作为企业众多资产中流动性最强的一种，其重要性是不言而喻的，它关系着企业的生存，运行和发展。在当前市场竞争日趋激烈的情况下，现金几乎主宰着企业命运。一方面，在一定程度上现金是流动性的代表，现金短缺将导致生产经营的中断以及无法偿还到期债务，从而加速企业破产种子的萌芽；另一方面，现金可作为一种投资资源，若企业持有的现金过多，就会导致资金闲置，现金使用效率降低，以致企业获利能力下降，因此保持合理的现金持有量对企业来说十分重要。 在过去的20年里，世界各地公司的现金持有量都有大幅的上升。德勤会计师事务所近期的一份报告指出，全球1000强非金融公司大约持有2.8兆美元的现金。Dittmar 和Mahrt-Smith（2007）指出，从上世纪90年代到2000年后这段时间内，美国企业的现金持有量基本两倍于企业所有资产总和的13%，达美国年度GDP的10％[ 1]；Ferreira 和Vilela（2004）提出，欧洲大陆的公司在2000年年初的现金持有量是公司总资产15％[2]，而同时期的中国大陆企业的现金持有量已经超过公司总资产的20％[3]。以上数据表明，持有现金对企业来说变得越来越重要，研究企业现金持有量的决定因素及其对企业行为的影响也变得越来越有必要。 国内对于现金管理的研究，最早是在1999年由花旗银行率先引入的，也是在
