1.Parties

2.Purpose

PartyAandPartyBherebyagreetoengageinajointventure,inordertomanufacture,marketandsellproductsintheChinesemarket.

3.ScopeofWork

Thescopeofworkforthejointventureshallinclude:

Thedesign,development,manufactureandsaleofproductsintheChinesemarket;

Theestablishmentofmarketingchannels,salesnetworksandservicenetworksinChina;

Theestablishmentofmanufacturingfacilities,warehousesandtechnicalresearchanddevelopmentcentersinChina;

Thesharingoftechnology,expertiseandresourcesbetweenPartyAandPartyB.

4.Investment

PartyAshallprovidefundingintheamountofRMBXXXXtothejointventure,andPartyBshallprovidefundingintheamountofUSDXXXX.

5.Management

ThejointventureshallbemanagedjointlybyPartyAandPartyB,withPartyAholdingaXX%shareandPartyBholdingaXX%shareoftheventure.

6.ProfitandLoss

TheprofitsandlossesofthejointventureshallbesharedbyPartyAandPartyBinproportiontotheirrespectiveshareholdings.

7.IntellectualProperty

TheintellectualpropertyrightsofanyproductsdevelopedormanufacturedbythejointventureshallbejointlyownedbyPartyAandPartyB.

8.DurationandTermination

ThiscontractshallbevalidforXXyears,andmayberenewedbymutualagreementbetweenPartyAandPartyB.

EitherPartymayterminatethiscontractbygivingwrittennoticetotheotherPartyXXdaysinadvance,intheeventofamajorbreachofcontractbytheotherParty.

9.GoverningLawandDisputeResolution

ThiscontractshallbegovernedbythelawsofthePeople’sRepublicofChina.

AnydisputearisingfromorrelatedtothiscontractshallberesolvedthroughconsultationbetweenPartyAandPartyB.Ifthedisputecannotberesolvedthroughconsultation,eitherPartymayreferthedisputetotheChinaInternation
