投资者关系管理研究 摘 要 投资者关系管理是指上市公司运用财经传播和营销的原理，对公司向投资 者、财经媒体和其他各界传播信息的内容、渠道和方式进行管理，以期提升公司 的自身形象，获得投资者的广泛认同，实现外部对公司治理的约束机制，确保投 资者利益的最大化，并最终实现公司利益最大化的一项战略性的管理工作。 投资者关系管理发源于美国，并很快就在各个发达国家的证券市场上得到广 范应用。 在我国，证券市场从无到有的 20 年时间内，得到了迅猛发展。但是，我国 的证券市场仍然很脆弱且存在很多严重缺陷，这一切都阻碍着投资者关系管理在 我国的发展。 为了加强我国的投资者关系管理，建议有关方面采取如下措施：提高上市公 司素质，加强信息披露，唤醒中小投资者的权利意识，提高监管部门的监管质量 和效率。 关键词： 投资者关系管理，国外经验，国内状况，建议措施 4 投资者关系管理研究 Abstract IRM (investor relationship management) is a kind of mechanism to enhancing corporate value by effective communication. IRM was born in USA and is attached importance by the corporations in the developed capital market that it plays an important role in the following aspects: improving the validity of security market, bettering the corporate governance, reducing the capital cost and enhancing corporate value. The introduction of IRM to China will better our market and benefits the public companies. The study of the relationship between IRM and the corporation value and the rights and interests of stock right will greatly help the development of Chin’s capital market. The maintenance of a good relationship for all the three parties will raise the internal and external values of the public corporations , which in turn will embody their value through the rights and interests of stock right. We need to improve from following respects: promote the development of List Company, perfect the disclosure system of information, law environment and strengthen the supervision of the media, strengthen investor’s consciousness of safeguarding rights an
