贵州大学工商管理硕士学位论文摘要近年来 BT 模式以其强大的融资建设功能在国内引起广泛关注，在一些大型基础设施 建设项目中成功运作。对企业而言 BT 模式的作用显而易见，BT 项目回购资金有保证，投 资风险小，既为企业开辟了新的投资渠道，又能发挥企业自身技术和资金的综合优势。本文主要从投资者的角度来研究企业运用 BT 模式的操作原理、方法及注意事项。文 章注重实证研究，采用大量案例具体探讨从 BT 项目的选择、谈判、到建设、回购各阶段 的实际操作中常见的管理控制和风险应对问题。本文对 BT 模式进行系统地应用研究，对企业应用 BT 模式过程中所面临的困难及解决 对策进行较为全面的分析、探讨，为企业实际投资 BT 项目提供一个规范化的运作模式。 对 BT 模式当前暴露主要问题进行深入剖析，包括： BT 模式中各种法律关系的辨析，目前 流行的几种投资模式的对比，代建制 BT 模式的研究，BT 模式不同实施方式的研究，对 BT 模式缺陷及风险的分析与防范，投资人再融资方法研究。另外，目前对企业投资 BT 模式 的研究仅局限在带有总承包资质的企业上，而新兴的代建制企业却少有提及，更没有成功 案例可循。本文借助案例对代建制企业投资 BT 模式进行相应的探讨和利弊分析，对代建 制企业的发展提出新的设想。本课题的研究，力争促进我国理论界和实际应用各方对 BT 项目的深入理解，为我国 在加快基础设施建设的过程中，更好地运用 BT 模式提供理论基础和运作指南，这对我国 规范基础设施建设、促其健康发展具有重大的现实意义。关键词： BT 模式 ，企业投融资，代建制分类号： F294Study of the utilization of the BT mode in entreprisesSummaryIn recent years, BT mode aroused a widespread concern in China with it’s powerful function of financing. It is used in the construction of big infrastructure and public projects. The role of the BT mode is evident to an entreprise. The BT mode ensures that the entreprise repurchases funds and runs less risks in investments. It opens a new investment channel and bring into full play the entreprise’s advantages in technic and funds.This thesis is dedicated to study from the point of view of investors the operational theory , the utilization method of the BT mode and some announcements. It emphasizes the study of proofs. The research that is based on many exemples includes the problems in management and control of different operational phases, from the choice of the BT projects, negociation, construction to the repurchase of funds and countermeasures against risks.This thesis studied systematically the utilization of BT mode. It analysed countermeasures against problems that have appeared, provided a standard utilization method for enterprises to invest in BT projects.
