、 摘要 摘要 2007 年荣国次贷危机发生后,上市银行的商管薪酬问题引发了公众热议和政府 的关注。由于银行业在公司监管、治理结构、资本结构等方面与一般企业存在显著 的区别,使得商业银行公司治理在制定商管薪酬方面有其自身的特点。 2005 年以来, 在内外部环境的双意压力下,中国商业银行加速了改制上市的步伐,截至 2008 年 底,国内共有 14 家商业银行在内地和香港上市。完善银行公司治理已经成为目前 中国上市银行急需解决的问题,也是中国商业银行进一步改革的核心。如何对银行 高层进行有效的激励,以使其利益与股东利益相一致,已成为银行公词泊理的重要 内容。 本文以 14 家上市银行历年的年报数据为样本,对其商管收入结构进行了深入 的分析,实证检验了影响我国商业银行商管薪酬的主要因素,其中经营绩效和国家. 控股比例同上市银行薪酬水平有密切的联系。通过与美国银行业的高管薪酬影响因 素进行对比,总结了两国的影响因素区别,并针对性的对我国上市银行商管薪酬提 出相关建议。从研究结果可以看出,一方面,由于考虑到银行商管的管理能力、行 业特征和经济环境等因素,对商管人员制定高薪有其合理性:另一方面,建立一套 完善的银行绩效考核体制,是薪酬市场化的首要任务。在银行商管薪酬体系的设计 上,要真正建立以绩效薪酬为主,基本工资和福利补贴为辅的薪酬激励机制;必须 综合考虑市场竞争和行业特征来确定合理的高管薪酬考核目标;调整薪酬结构和提 高薪酬信息的透明度,加强投资者和社会公众的监督。 关键词:上市银行 商管薪酬 激励机制 经营绩效 、 Ab耐四.ct Abstract After the tinancial crisis of 2007 ,Executive compensation of listed banks 创gg町ed a public discussion and 伽e Governments conc时ns. Improve bank co甲orate gov臼nance of Chinese listed banks have not only been an urgent problem ,but also the heart of furth町 refonn. How to effectively motivate executives to make them consistent with shareholder on interests has become an important part ofbanks ∞叩orate gov町nance. In this pap叽 we use a sample of 14 listed banks,analyzing the income structure executive鸣 deeply and making an empirical test of the main factors affecting executive compensation in Chinas commercial bru巾, In particul町, op町ating perfonnance and the proportion of statecontrolled.
