基于公司业绩的我国中小上市公司独立董事制度研究 基于公司业绩的我国中小上市公司独立董事制度研究 中文摘要 基于公司业绩的我国中小上市公司 独立董事制度研究 中文摘要 随着中小企业在我国的迅速发展，中小企业在国民经济中扮演着越来越重要的角 色。2004年，深圳证券交易所成立了中小企业板，拓宽了中小企业直接融资的渠道。 但是由于中小企业规模小，公司治理结构还很不完善，治理工作尚处于起步和探索阶 段。对于基于公司业绩的我国中小上市公司独立董事制度的研究，将有助于我们认清 现行独立董事制度在中小上市公司中是否得到有效运行，有助于深化我国的独立董事 制度和完善中小上市公司的治理。 本文首先立足于我国中小上市公司现状，指出其治理模式上所具有的优势以及存 在的缺陷，说明我国中小上市公司引入独立董事制度的必要性。其次，对中小上市公 司独立董事制度与公司业绩进行了分析，从两者内在的逻辑关系出发，提出本文研究 假设。接着，从独立董事的比例、薪酬、与会率以及在其他公司兼任独董这四方面对 我国中小上市公司独立董事与公司业绩的关系进行描述性分析与实证研究。最后结合 目前独立董事制度存在的问题，从独立董事独立性的加强、独立董事激励和约束机制 的加强等几方面提出中小上市公司独立董事制度建设的相关对策和政策建议。 关键词：中小企业上市公司 独立董事 业绩实证研究 作 者：丁菱 指导老师：王则斌 基于公司业绩的我国中小上市公司独立董事制度研究 基于公司业绩的我国中小上市公司独立董事制度研究 英文摘要 The Research on The Independent Directors in Chinese Public Company listed on Small and Medium Enterprise Board，which is basing the Corporate Performance Abstract W|m the rapid development of Small and Medium Enterprises(SMEs)in China,SⅧs play an important role in economy of our country．皿1e SM匣s domain was set up in Shenzhen stock market in 2004，which develop a wider channel for small and medium enterprise’direct financing． Since the scale of SMEs is small and corporate govemance is less perfev,the improvement of corporate governance is still in the stage of beginning and exploring．nle research of the independent director on the corporate governance，which is basing the corporate performance，can help US recognize the validity of independent director system in Our country,can further perfect independent director system and corporate governance of SM匝s． Firstly，the article analyses the situations of public company listed on small and medium enterprise board，pointing out the advantages and existent blemishes on the manage mode，which are basing on the actual situations．，It also explains the necessity that why the independent director system should being leading into．Secondly,it has analyses between the independent director system of public company listed on small and medium enterprise board and the corporate performance．From the inner lo
