浅析对赌协议的风险及防范措施 【摘要】：对赌协议在我国企业私募股权投资领域中作为一种普遍存在的估值调整手段，其可有效地解决投资方与融资方在我国企业发展中关于公司估值的争议问题，但其本身在对赌协议的履行过程中也具有高风险性。投资方与融资方签订的对赌协议在我国企业发展的实际运用中由于存在缺乏具体规范的现象，导致对赌双方在具体适用该协议时容易引发法律风险。 本文首先介绍对赌协议的研究背景，分析中国企业为什么要签订对赌协议。阐述本论文的研究意义。以深圳市龙岗区人民法院的真实案例为切入点，通过对案例的分析来思考对赌协议在实践中的运用，在此基础上进一步对对赌协议的性质进行研究。在我国相关法律法规及司法解释的范围内对对赌协议的风险进行探析，从而针对对赌协议的风险提出本文防范措施。 【关键字】：对赌协议 法律效力 风险防范 违约责任  Analysis on the Risks and Preventive Measures of the Gambling Agreement Abstract： As a common means of valuation adjustment in the field of private equity investment in Chinese enterprises, gambling agreement can effectively solve the dispute between investors and financiers on the valuation of the company in the development of Chinese enterprises, but it itself has high risk in the process of implementing the gambling agreement. Due to the lack of specific norms in the actual application of the gambling agreement signed by the investor and the financing party, the gambling parties can easily cause legal risks when applying the agreement. This paper first introduces the research background of gambling agreement and analyzes why Chinese enterprises should sign gambling agreement. expound the research significance of this paper. Taking the real case of the Longgang District peoples Court of Shenzhen as the starting point, this paper discusses the application of the gambling agreement in practice through the analysis of the case, and further studies the nature of the gambling agreement on this basis.
