公司股权结构优化与公司治理分析

——以格力电器为例

摘要

随着我国市场经济体制改革的深入，有关公司治理出现的问题愈发受到专家学者的重视。股权结构作为公司治理机制的基础，在公司治理中处于十分重要的位置，不仅决定了公司控制权的分配，同时也影响了公司的经营状况以及经营业绩。良好的股权结构将会对公司治理以及发展提供有效帮助。然而在现实生活中，股权结构与公司治理还存在着一定的问题，这就需要公司正视问题的存在，并积极采取有效的措施加强对问题的优化和处理。

本文以我国著名上市公司格力电器为例，通过研究格力电器的股权结构、经理人选聘制度和员工激励制度三个方面，分析如何通过优化公司内部股权结构从而提升公司治理能力，促进公司进一步发展，提升公司的竞争力，增加公司的经营业绩。

Abstract

WiththedeepeningofimprovethemarketeconomysysteminChina,expertsandscholarspayagrowingnumberofattentiontotheissuesofcorporategovernance.Shareholdingstructureisthebasisofthegovernancemechanismofcompanies,whichisverymajorincorporategovernancestructure,itnotonlydeterminesthedistributionofthecompanysrightofcontrol,butalsoinfluencesthecompanysoperatingconditionandperformance.Agoodshareholdingstructurewillsupplypositivehelptocorporategovernanceanddevelopment.Nevertheless,inreallife,anumberofproblemsstillexistintheshareholdingstructureandcorporategovernance,whichrequiresthecompanytofaceuptotheproblemsandtakeeffectivemeasurestostrengthentheoptimizationandtreatmentoftheproblems.

Inthispaper,thefamouslistedcompanyGREEElectricApplianceasanexample,throughthestudyofGREEElectricAppliancesshareholdingstructure,managerselectionsystemandemployeeincentivesystemthreeaspects，Analyzehowtoimprovethecorporategovernanceabilitybyoptimizingtheinternalshareholdingstructureofthecompany,Goastepadvancedevelopmentofthecompany,promotethecompetitivenessofthecompany,andraisethecompanysbusinessperformance.
