ThissalescontractismadebetweenABCCompany,acorporationdulyorganizedandexistingunderthelawsofCountryX,withitsregisteredofficeatAddressX,andDEFCompany,acorporationdulyorganizedandexistingunderthelawsofCountryY,withitsregisteredofficeatAddressY.
1.DefinitionsandInterpretation
1.1.Definitions:Thefollowingtermsshallhavethefollowingmeanings:
*Products:MeanstheproductstobesoldbyABCCompanytoDEFCompany,asspecifiedinthiscontract.
*ContractPrice:MeansthepriceagreeduponbythepartiesforthesaleoftheProducts,asspecifiedinthiscontract.
*PaymentTerms:MeansthetermsagreeduponbythepartiesforthepaymentoftheContractPrice,asspecifiedinthiscontract.
*DeliveryTerms:MeansthetermsagreeduponbythepartiesforthedeliveryoftheProducts,asspecifiedinthiscontract.
*WarrantyPeriod:MeanstheperiodduringwhichABCCompanyshallprovidewarrantyfortheProducts,asspecifiedinthiscontract.
*ForceMajeure:Meansanyeventorcircumstancebeyondthereasonablecontroloftheparties,includingbutnotlimitedtowar,strike,lockout,naturaldisaster,orimport/exportrestrictions.
1.2.Interpretation:TheinterpretationofthiscontractshallbegovernedbythelawsofCountryXandCountryY,asapplicable.AnydisputesarisingoutoforinconnectionwiththiscontractshallbesubjecttothejurisdictionofthecourtsofCountryXandCountryY.
2.TheParties
2.1.ABCCompany:ABCCompany,acorporationdulyorganizedandexistingunderthelawsofCountryX,withitsregisteredofficeatAddressX,isengagedinthebusinessofmanufacturingandsupplyingProducts.
