Preamble

ThisInternationalSalesContract(hereinafterreferredtoastheContract)ismadeandenteredintoasof[Date],byandbetween:

Hereinafter,theSellerandtheBuyermaybeindividuallyreferredtoasaPartyandcollectivelyastheParties.

WhereastheSellerisengagedinthebusinessofmanufacturing/supplyingtheGoods(asdefinedbelow)andisdesirousofsellingthesame;and

WhereastheBuyerisengagedinthebusinessofpurchasingtheGoodsforitsownuse/resaleandisdesirousofpurchasingthesamefromtheSeller;

Now,therefore,inconsiderationofthemutualcovenantsandagreementscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thePartiesheretoagreeasfollows:

1.DescriptionofGoods

1.1TheSelleragreestosellandtheBuyeragreestopurchasethefollowinggoods(hereinaftercollectivelyreferredtoastheGoods):

*Specifications:[DetailedSpecifications,includingbutnotlimitedtomodel,material,dimensions,technicalparameters,etc.Referencetospecificstandards,drawings,orsamplesmaybemadehereinorinAnnexes.]

*QualityStandard:TheGoodsshallconformtothequalitystandardsasspecifiedin[e.g.,AnnexAhereto,theattachedSpecificationSheet,thelatesteditionofInternationalStandardXYZ,theSellersusualqualityforsuchGoods,oraspersampleprovidedbytheSelleron[Date]andacknowledgedbytheBuyer].

1.2AnyAnnexesordocumentsreferencedhereindescribingtheGoodsshallformanintegralpartofthisContract.

2.Price

2.1ThetotalcontractpricefortheGoods(hereinafterreferredtoastheContractPrice)shallbe[AmountinWords][CurrencyCode],(i.e.,[AmountinFigures][CurrencyCode]).
