Abstract
As the core of the modern-enterprise system, the perfect corporate governance is
not only the important frame of modern-enterprise system but also necessary to
strengthen corporate competitiveness and improve operating performance. So
corporate governance has been paid close attentions and it is still a hotspot to this day,
whether in West Country which joint-stock company has existed over 200 years or
our country that is in the period of economic transition. With the going on deeply of
reform and opening-up, Chinese enterprises face the important transform to build the
modern enterprise system as corporate organizational form. However, when our
country regards modern-enterprise system as the reform direction of the state-owned
