暨南大学硕士学位论文 暨南大学硕士学位论文 万方数据 万方数据 摘要 股份合作制是我国推进农村社区（行政村）集体经济创新发展的一种制度安排。它 在推动农村集体经济组织改革、加快城市化进程、繁荣地方经济、维护社区稳定、巩固 基层政权和帮助原村民致富奔小康等方面发挥了示范作用。但是，随着市场经济发展和 城市化推进，一部分农村社区转型为城市社区（“城中村”）经济组织，并逐渐在产业发 展、股权设置及与之相关的治理结构、规范运作、权益流转、可持续机制等方面暴露出 一些问题，尤其按“资本股份+劳动合作”思路设计出来的劳资二元体制及与之相联系 的封闭式股权结构，与现代城市日益开放的经济和高度市场化的环境之间存在的“不兼 容”日益显现，使愈来愈多城市或地方开始正视这一问题并启动了这方面的改革。 深圳是率先探索建立城市社区（“城中村”）股份合作企业以快速推动城市化的城市， 并在股份合作制建设和改革方面进行了积极有效的探索和实践。为此，通过梳理国内外 相关理论、政策及实践，以深圳市社区股份合作企业为样本，探讨其股权改革的缘起、 并进行实地考察、会议访谈和问卷调查，应用二分类 Logistic 回归模型定量分析股份 合作企业向公司制发展的影响因素。经研究得出结论：（1）通过梳理股份合作企业发展 历程及现状，明确了社区股份合作企业股权改革的必要性及现实有利因素。（2）从深圳 社区股份合作企业股权现状及调查问卷结果出发，绝大多数股民支持社区股份合作企业 股权逐步向公司制企业转变，因此具有现实可操作性。（3）从 Logistic 回归模型结果可 知，股民对于股份合作企业逐步转变为公司制最关注的是涉及集体股减持、股权流转及 股权主体多元化中的 13 个因素。建议从实际情况出发，尊重股民意愿，逐步解决集体 股“一股独大”、股权固化封闭、股权结构单一这三大问题，完善配套保障设施。据此， 提出进一步优化和完善深圳市股份合作企业股权改革的对策建议，以期为全国城市社区 股份合作企业改革创新提供参考。 关键词：城市化；社区股份合作企业； Logistic 回归；股权改革；现代企业制度 I Abstract Community share-holding cooperative system is to promote development of the collective economy of our rural community. It promotes the rural collective economic organizations reform, accelerates the process of urbanization, booms of the local economy, maintains social stability, consolidates the political power and help villagers become well-off etc. However, with the development of market economy and urbanization, rural collective economic organizations became city collective economic organizations, and gradually in the industry development and equity and the companys setup and the governance structure, operation, equity transfer, sustainable mechanism and so on have exposed some problems. Especially, building in the basis of “capital stock+ labor cooperation”, which called binary system and linked with the closed-end equity structure, incompatibles with the modern city increasingly open economy and highly market-oriented environment, so that more and more city or local began to face the problem and started the reform in this respect. Shenzhen is the first city to explore the establis
