The rapid development of E-commerce while there have been many counterfeit, counterfeiting and other commercial confused behavior,which violated operators and consumers legal rights seriously. The current laws do not regulate this behavior legitimately, which gives some operators who takes the acts of unfair competition operators an opportunity to exploit. As E-commerce has the characteristics of concealment and virtual , there are many differences between E-commerce and traditional business. And as for the lag of the law ,our law does not regulate the business confused behavior in E-commerce legitimately. This paper mainly adopts documents data, analysis induction and case study as well as other research methods, and combined with the present situation of our legislation and the relevant legislative experience in other countries. In addition ， the paper analyzes the performance and characteristics of business confused in E-commerce,and provide some suggestions and references for its legal regulation. Firstly, I analyze the overview and features of business confused behavior in E-commerce ,and which is different from the confused behavior in traditional business .And then analyzed the status of legal regulation of business confused behavior in E-commerce to find out the deficiency of related law.Finally, combined with the legislative experience in some foreign countries and regions,put forward countermeasures and suggestions for legal regulation of business confused behavior in E-commerce.
