2026年中英文保密信息保护协议

本协议（以下简称“本协议”）由以下双方（以下合称“双方”，单独称为“一方”）于____年____月____日（以下简称“协议生效日”）在____（签署地点）依据《中华人民共和国民法典》《中华人民共和国反不正当竞争法》等相关法律法规，本着平等自愿、公平诚信、权责对等的原则，经友好协商一致签署，旨在明确双方在信息交互过程中的保密权利与义务，防范保密信息泄露、滥用、篡改等风险，保障双方合法权益，双方均应恪守履行。

ThisAgreement(hereinafterreferredtoastheAgreement)issignedon____(AgreementEffectiveDate)at____(PlaceofSigning)bythetwopartieshereto(hereinaftercollectivelyreferredtoastheParties,andeachindividuallyreferredtoasaParty)inaccordancewiththeCivilCodeofthePeoplesRepublicofChina,theAnti-UnfairCompetitionLawofthePeoplesRepublicofChinaandotherrelevantlawsandregulations.Basedontheprinciplesofequality,voluntariness,fairness,goodfaithandequalityofrightsandobligations,thisAgreementisconcludedthroughfriendlynegotiationtoclarifytheconfidentialityrightsandobligationsofbothPartiesintheprocessofinformationexchange,preventriskssuchasdisclosure,abuseandtamperingofconfidentialinformation,andsafeguardthelegitimaterightsandinterestsofbothParties.BothPartiesshallstrictlyperformthisAgreement.

鉴于：双方为开展________________________（以下简称“合作事项”），需进行必要的信息交互与协作；在合作过程中，一方（以下简称“保密信息提供方”）将向另一方（以下简称“保密信息接收方”）披露、传递其未公开的保密信息，保密信息接收方为履行合作义务、实现合作目标，需要接触、使用该等保密信息；为规范保密信息的管理与保护，明确双方权利义务、违约责任及争议解决方式，特订立本协议，本协议是双方合作相关法律文件的重要组成部分，与双方就合作事项签署的其他协议具有同等法律效力。
