摘 要 在市场经济背景下，越来越多的企业为了寻求自身发展选择通过并购快速完成扩张，并购这一方式已逐渐成为企业深化改革、调整经济结构和盘活资产存量的主要手段。企业并购成功与否，资金问题已成为一个制约瓶颈，并且，不同的融资方式、融资数量的多少、成本的高低、风险的大小以及融资渠道的开拓和畅通与否都在相当程度上决定着并购活动的有效性，乃至能否取得最后的成功。和西方国家相比，我国目前对企业并购融资问题的研究还只是刚刚起步。由于现阶段国内资本市场发展不完善，金融体制还不健全，对并购融资多是针对外部融资环境发展的研究，并购融资作为企业行为的研究在目前还远远不够。因此通过研究并购活动各环节的运作机理和我国企业并购融资状况，同时借鉴发达国家的经验，探索适合我国企业的并购融资方式是非常有必要的。 本文主要对西方企业并购融资方式进行综述，分析西方企业并购融资发展的趋势，然后对决定企业并购融资的因素和其对企业财务的影响进行探究，从而选择正确的并购融资方式，并做出合理的并购融资方式规划，同时在详细分析了我国现阶段存在的并购融资方式和存在的现实障碍的基础之上，提出了完善我国并购融资方式建议。 关键词：企业并购; 融资方式;并购贷款;并购基金 Abstract Under market economy background, more and more enterprises to seek own development choice to complete the expansion fast through the merger and acquisition，Merger and acquisition has gradually become the principal means of enterprise to deepens the reform, the adjustment economic structure gradually and stimulates the property storage quantity. Enterprise merger success, capital has become a bottleneck restriction, and different mode of financing, financing quantity and cost of the size of the risk, and the financing channels of pioneering and smooth or not depends on certain extent in merger activity, and can obtain the effectiveness of the success. Compared with western countries, in our countries, the present problems of enterprise merger financing is just started the research. Due to the present domestic capital market development is not perfect, the financial system is not perfect, so financing is for external financing environment development research, mergers as enterprise financing behavior research at present is far from enough. So through the study of Merger and acquisition and Chinas enterprise operation mechanism and financing experiences of developed countries for reference, to explore our country business enterprise merger of the financing way is very necessary.
