要 企业法律顾问制度是现代企业制度的重要组成部分，在许多发达资本主义国 家已被普遍采用，但在我国，这项制度的发展还很不尽人意，不仅与国外差距明 显，也远远落后于其它一些制度的建设，如企业人力资源制度，公司财务制度等 等。 然而，我国的经济的发展和体制的完善，需要企业法律顾问制度的进一步发 展和完善。2004 年4 月，国务院就决定围绕国有资产管理体制和国有企业改革的 目标，在国有重点企业加快推进企业法律顾问制度建设。因此，研究如何完善我 国的企业法律顾问制度就显得非常重要而且紧迫。 本文主要着重于企业法律顾问制度在实施中的问题和改善的对策。首先对企 业法律顾问的地位作用、与执业律师和公司律师的区别作了介绍，然后详细地分 析了目前我国企业法律顾问制度存在的问题，最后，在比较西方两个国家，法国 和德国的企业法律顾问制度的基础上，提出了完善这 制度的一些看法。 关键词： 企业法律顾问制度 问 完善 1 Abstract Enterprise legal adviser system is one of the important parts of modern enterprise system, which is widely adopted by many developed countries. But in China, the use of this system was far from satisfaction. It had lagged behind these developed countries. Meanwhile, it had lagged the other systems, such as enterprise HR system, company financial system, and so on. Nevertheless, to boost economy and perfect system, China should boost and perfect its enterprise legal adviser system synchronously. In April 2004, State Department had already decided to quicken the construction of enterprise legal adviser system in state big corporations in order to reform the management system of state assets and state corporations. Therefore, it is important and urgent to study how to perfect Chinese enterprise legal adviser system. This dissertation emphasizes the problems in implementation of the system and how to deal with it. Firstly, I introduce the function of enterprise legal adviser and the differences among enterprise legal adviser, certified lawyer and company attorney. Then I give detailed analysis on the implementation of enterprise legal adviser system. Finally, after comparing it with the systems in two other countries, France and Germany, I put forward a perspective on how to impro
