Firstly, the author introduces the implication, development and theoretical bases of employee stock ownership plan and employee stock ownership trust. Secondly, the western models such as the United States and Japan are investigated from the perspective of comparison and comparative argumentation is conducted, which provides the substantive analysis for the introduction of employee stock ownership trust system into China. Finally, the features and advantages of trust system are analyzed from the perspective of law and evaluation is made by integrating trust system and employee stock ownership system in the legislative sense. In Chapter Two, it is about the model designing of China’s employee stock ownership trust system. The author firstly analyzes the previous forms of employee stock ownership executed in China, comments on the arising problems from the perpective of law and summarizes various deficiencies.The trust system is needed in standardizing operation in employee stock ownership and in solving the obstacles in the present law need trust system and the author proposes China’s employee stock ownership scheme as well. Finally, a detailed discussion about model and system construction in China’s employee stock ownership trust system is made. The integration of financial function and social security function shows the importance of employee stock ownership trust system by associating China’s actual conditions. In Chapter Three, the legislative relations of employee stock ownership trust are expounded. The author analyses legal positions and relations of all parties involved in employee stock ownership trust system from the perspective of law in particular.
