华 中 科 技 大 学 硕 士 学 位 论 文 摘 要 以信息技术和经济全球化为基础的新经济使企业的外部环境发生了深刻变化 （信息技术革命拓展了企业组织的意识空间，经济全球化拓展了企业组织的物质空 间），伴随这些变化，企业组织的创新形式—网络组织形成和发展起来。 网络组织是指由两个或两个以上独立的企业借助现代网络技术通过正式契约和 隐含契约所构成的相互依赖、共担风险的长期合作的组织模式。作为一种资源配置 方式，网络组织可与市场和企业互相替代，它具有权威机制和价格机制相结合的特 点和优势，同时与市场和企业有很大的区别。网络组织打破了传统的市场和企业二 分法，体现了科层机制和市场机制相互渗透与融合的趋势，对组织边界划分提出了 新的要求。一个完整的网络组织边界理论既要考虑交易的维度又要考虑生产的维度， 既要考虑资产专用性、不确定性和交易频率，还要将企业能力因素纳入分析框架中。 网络组织的形成是发挥网络的竞争优势的必要条件但不是充分条件，只有对它进 行有效的治理，才能够实现它的优势。本文从网络内部治理和第三方加入阐述了网 络组织治理机制。网络内部治理，一是通过声誉、信任机制来保证契约履行，建立 网络组织的宏观文化机制，并且通过联合制裁这样的惩罚机制来维护集群的运行， 二是通过建立良好的协同合作，利益分配等激励约束机制来保证交易的正常进行。 除了上述的网络内部治理以外，还可以以三方均衡的治理结构补充双边治理结构， 使网络组织产生新的外部压力和内在动力，进而推动整个网络的发展。 关键词：网络组织，组织边界，治理 I 华 中 科 技 大 学 硕 士 学 位 论 文 Abstract The New Economy based on the information technology and economic globalization has a profound change to the external environment of the firms. The revolution of the information technology expands their recognizant space of the firm organization, while economic globalization expands the material space of business organizations. With this change, the innovative forms of business organizations - the network organization formed and developed. Firm network organization is the organizational model by which two or more individual firms use the modern Internet technology through formal contract and implied contract on the base of interdependence and mutual risks. As a resource allocation, network organization can be replaced by the firm and markets alternatively. It combines characteristics and advantages of the authoritative mechanism and the price mechanism. At the same time, it is greatly different from the market and firm. Network organization breaks the traditional dichotomy of the market and Firms. It embodies the inosculating and mutual penetration trend of market mechanism and the mechanism, and has new request to the border of the organization. A complete network organization boundary theory should think about the aspects of both exchange and produce, and should take such elements
