Ltd (hereinafter referredto as “X”) Party B: Y (Group) Company (hereinafter referred to as “Y”) In the past several years, X and Y met with each other for many times to explore the opportunities of the joint cooperation in such projects as those relating to subway, roads and waste/clean water disposal. X cooperated closely with the two designing institutes affiliated to Y, AAAA (hereinafter referred to as A) and BBBB (hereinafter referred to as B), through its subsidiaries in Hongkong/China. When the president of X, Mr. , met with the counterpart of Y on August 17th, 2004, Mr. expressed his interest to cooperate with A and B and inquired as to whether X may mak equity participation in the two institutes, A and B.
