我国证券市场发展的几点思考.pdf

内容提要 本文运用新制度经济学的有关原理，分析了证券市场发展中存在系 列问题：证券发行制度存在严重缺陷、上市公司信息披露的有效性差、 存在假并购假重组的行为 、法律法规不健全、缺乏具有尽责精神的市场 中介机构等。本文认为，中国股票市场现阶段主要矛盾是股权分裂问题， 加快股权分裂制度改革是近期证券市场发展改革的重点。 新时期下证券市场的资源优化配置功能、投资融资功能，还有与国 际市场全面接轨，将引起人们对基础性制度安排的反思，因而证券市场 发展具有重大意义；国家之所以要推进证券市场发展是由于资本市场发 展的要求；本文最后分析了规范我国证券市场的方法和对证券市场未来 的希望。 关键词： 证券市场 股权分裂 Abstract The thesis analysis the problems in the development of stock market by applyingtheprincipleofnew systematiceconomicsasfollowing: 1.thereisseriousdefecttothe security circulation. 2.Lawsandregulationsarenot optimized. 3.scarcingoftheintermediarywhichhasresponsibility. In the author’s opinion, the main contradiction of Chinese present stock market is the departure of stock option, it is important to accelerate the innovation ofstock option departure. In the new stage, the function of arranging stock market’s resource optimize,investment and finance,linkingtothe internationalmarket will lead to people’s rethink about the arrangement of basic system, therefore, it is important to develop security market.Because ofthe demand of stock market development,thecountry shouldacceleratethedevelopment ofstockmarket.
