PAGE PAGE 14 并购背景下上市公司总部迁移目标区位选择的案例研究 摘要： 上市公司总部迁移频繁，总部迁移带来的“总部经济”也成为诸多城市绿色发展的重要工具。因此，上市公司总部迁移决策受到区域政府和学术界广泛关注。为了有效实施腾笼换鸟，成功发展总部经济，地方政府首先需要确定总部迁移决策的影响因素。值得注意的是，总部作为上市公司的中枢神经，内部资源变动影响着总部协调内部机构职能的发挥，进而必然对于公司战略决策起到举足轻重的作用。因此，为重点探究企业内部资源对于总部迁移决策的影响，本研究以上市公司总部迁移的中坚力量，同时也是内部资源变动的典型代表，即并购重组上市公司作为研究对象，综合研究影响总部职能的内部资源与外部资源，以期更加全面的分析影响总部迁移决策的重要因素。 在理论层面，一方面本研究在已有研究的基础上加入了内部资源如何影响总部迁移决策，对现有理论进行了总结与补充；另一方面，本研究对于并购重组企业总部迁移目标区位选择的影响因素进行了实证分析，相对于现有研究多为描述性分析的研究成果更具有科学性。 在实践层面，本研究以并购重组企业的总部迁移决策为研究内容，对于并购重组企业如何进行总部迁移具有一定的借鉴作用。此外，总部迁移目标区位选择影响因素的研究能够为区域政府理性评估区域吸引力，更加有效地发展总部经济提供政策参考。 关键词：并购背景；上市公司；总部迁移；区位选择 Under the merger context, a listed company headquartered migration target location choice of case studies Abstract: Listed Company headquarters relocation frequently, the headquarters moved to bring the “headquarters economy“ has become an important tool for many urban green development.
