PAGE PAGE 23 家族企业传承背景下的治理机制研究 Under the background of family enterprise inheritance governance mechanism research 摘要 家族企业无论是在西方国家还是在东方国家，无论是在发达国家还是在发展中国家都是一种非常重要的组织形态。同样，家族企业也是当代市场经济中不可或缺的重要部分。俗话说：“穷不过三代，富不过三代”。随着改革开放以来第一代创业者的谢幕的时间越来越紧迫，企业主如何顺利的将企业传承到下一代的手中并能够持续稳定的发展将是一个值得思考和探究的问题。大量的家族企业的衰亡将会对市场产生强有力的冲击。所以，如何挣脱家族企业传承的束缚已经是家族企业的企业主和学术研究工作者所面临的严峻的考验。 已有的研究多是从家族企业内外部的环境来研究公司的治理机制，或者是在于分析家族企业传承模式的选择。因此，在家族企业传承接代的特定的前提下，去研究公司的治理机制将会有着一定的意义。本文从家族企业传承过程中的瓶颈着手，借鉴已有的国内外关于家族企业传承和家族企业治理机制的理论，通过大量的文献阅读以及对具有较强代表性的典型案例的研究，分析出了一些对家族企业传承过程中具有积极作用的可行性方法。 关键字：家族企业传承治理机制 Abstract Family enterprises both in western countries and in eastern countries, whether in the developed countries or in developing countries is a very important organization form.
