摘要：随着经济的发展，中小企业在创造就业、创新、出口增加产值、活跃市场经济等方面，均发挥着越来越重要的作用。目前，中小企业经营失败率高，学术界也进行了深层次、多角度的分析和探讨。但是，中小企业在财务治理结构方面仍然存在着不足和缺陷。本文在吸收了学者们关于财务治理的研究精华后，针对目前我国中小企业存在的财务治理结构问题进行了分析。从财务治理目标、财务治理结构、外部监督机制、财务激励约束机制、利益相关者参与治理的程度等方面出发，并针对我国中小企业财务治理结构的现状，提出完善中小企业财务治理结构的措施，提出了解决目前我国中小企业财务治理结构问题的一些对策，以提高企业财务治理效率。这些直接关系到中小企业能否长期的健康发展以及未来我国经济的持续增长。 关键词：中小企业；财务治理；财务治理结构；财务理论 Abstract：With the development of economy，SMEs play an important role in creating employment,innovating,increasing export value,activing the marketing economy etc.At present,SMEs’the rate of operating failure is high,the academia proceeds deep-seated and multi-angle discussion and analysis.But,SMEs in the financial governance structure still exist some deficiencies and defects.On the basis of absorbing the essence of financial scholars research on financial management,in accordance with the problems of SMEs financial management at present,from the aspect of financial management objectives,financial governance structure,the external oversight mechanisms,financial incentive and restriction mechanism,the degree of stakeholders participate in management,make a detailed comparison of SMEs’and large enterprises financial management status quo.In view of the status quo of SMEs’financial management.Through this paper’s research,put forward to some countermeasures of solving the current problem of our country’s SMEs financial management systemly,in order to improving the efficiency of financial management.it concern SMEs’long-term healthy development and our country’s economic sustained in the future. Key Words：SMEs;Financial management; Financial governance structure;Financial theory 一、引言 财务治理（financial governance,也称财务治理结构）的核心是通过财权的配置来划分各财务主体,形成相关利益主体之间的制衡机制（中小企业的利益相关者主要包括股东、管理人员、员工、债权人、供应商、客户、政府等主体），从而确保企业财务的科学决策的安排和设计。从根本上来说，财务治理结构是一种为了规范利益主体行为的制度安排，其目的是使公司的财务活动更理性化。它是企业治理结构构建的基础，是企业进行有效治理的前提。 财务治理结构包括企业的资本结构、企业的激励与约束机制、企业利益相关者参与治理的程度、企业外部监督机制等几个主要方面。 资本结构通常称之为股权结构或债权结构，是股权资本与债权资本之间的比例关系，也称之为融资结构或债权结构。只有在企业的权益资本中融入债务资金，这样才可以使经
