摘要 摘要 万方数据 万方数据 摘要 跨国并购是全球化资源配置的重要手段,也是我国企业参与全球经济所必 须经过的重要环节。近年来,我国企业积极参与全球并购,日渐成为活跃的角 色,并购规模不断扩大,并购的领域也在向多元化发展。但是,由于中西方文 化差异的客观存在,我国企业在跨国并购的过程中大多遭遇因文化差异导致的 文化冲突,并给并购企业的经营管理带来困难。因此,在跨国并购中,文化的 整合是关系到并购成败的关键因素之一。 本文在国内外学者的研究基础上,以中石化集团并购 ADDax 为案例,研究 分析了中国企业在跨国并购中面临的文化冲突及其整合问题。本文认为:企业 并购 过程中,文化冲突是企业在并购过程中碰到的一个难题,并购成功与否, 与企业文化冲突有很大关系,本文对文化冲突方面进行分析,针对文化冲突出 现的问题,提出了文化整合必要性。 当前,中国企业的跨国并购尚处于初级阶段,仍然需要累积大量的跨国并 购经验,尤其是文化整合方面的经验,降低并购中的文化壁垒,才能大大提升 跨国并购成功率。 关键词:跨国并购; 文化冲突;文化整合; 案例分析 I ABS ABSTRACT ABSTRACT Cross-border M A is an important means of global resource allocation , but also an important part of Chinas enterprises to participate in the global economy must pass . In recent years , Chinas enterprises to actively participate in the global mergers and acquisitions, becoming an active role in mergers and acquisitions have been expanding, also in the field of mergers and acquisitions to diversify . However, due to differences in the objective existence of Western culture , the Chinese enterprises in the process of cross-border mergers and acquisitions mostly encountered cultural conflicts caused by cultural differences , and to mergers and acquisitions business management difficult. Thus, in cross-border mergers and acquisitions , cultural integration is one of the key factors related to the acquisition of success. Based on the study on the basis of domestic and foreign scholars to Sinopec Group M ADDax as a case study analyzed the cultural conflict in transnational mergers and acquisitions of Chinese enterprises face in their integration problems. This paper argues that : the process of mergers and acquisitions , corporate cultural conflict is a problem encountered in the acquisition process , the success of mergers and acquisitions , and corporate culture has a lot of conflict , the paper analyzes the cultural conflicts , problems arise for cultural conflict , the necessity of cultural integration.
