本经销商保密协议（中英文版）（以下简称“本协议”）由以下双方（合称“双方”，单称“一方”）依据《中华人民共和国民法典》《中华人民共和国反不正当竞争法》及其他相关法律法规，本着平等自愿、公平诚信、权责统一的原则，就乙方作为甲方经销商期间涉及的保密事宜，经友好协商一致，自愿签订本协议，以资共同恪守履行。

ThisDealerConfidentialityAgreement(Chinese-EnglishVersion)(hereinafterreferredtoasthisAgreement)isvoluntarilysignedbythefollowingtwoparties(collectivelyreferredtoastheParties,individuallyreferredtoasaParty)inaccordancewiththeCivilCodeofthePeoplesRepublicofChina,theAnti-UnfairCompetitionLawofthePeoplesRepublicofChinaandotherrelevantlawsandregulations.Basedontheprinciplesofequality,voluntariness,fairness,goodfaithandunificationofrightsandobligations,thePartieshavereachedaconsensusthroughfriendlynegotiationonconfidentialitymattersduringtheperiodwhenPartyBactsasPartyAsdealer,andagreetoabidebythisAgreementjointly.
