摘 要 当前经济背景下，中国民营企业走向海外进行融资是非常有必要的，但同 时也会遇到很多问题。本文首先对民营经济和民营企业的概念做了说明，分析 了民营企业发展的成就和融资现状及现实困境，分析了民营企业海外上市的基 本情况、动因以及上市中存在的问题、海外上市的现实意义等。之后对海外证 券市场的规则和上市条件进行了全面阐述，并重点就海外几个主要的证券市场 的特点做了分析，针对不同行业的民营企业适合上市的地点做出了结论性的建 议。在接下来的篇幅里，本文作者对于海外上市途径进行了比较分析，总结出 适合民营企业海外上市的方法。并通过对案例的分析，总结海外上市的策略。 就如何选择上市地点、上市时机和上市方式以及在各个环节需要注意哪些问题 进行了深入探讨，陈述了自己的见解和看法，系统地将目前民营企业在海外上 市中存在的问题展开解剖。最终就民营企业海外上市可能遇到的障碍进行了全 面的总结，并提出了一套行之有效的解决办法。 Abstract Based on the background of economy trends, it is very necessary to financing abroad for the Chinese private enterprises. But there will be some problems either. At first this paper explains the concept of private economy and private enterprise, and analyzes the achievement of the development of the private enterprises，the status of financing and the difficulty. The author also analyzes the basic situation, reason, problems and significance of overseas listing. Then the author expatiates the rules of overseas listing market, analyze the characteristics of several main listing market, and give some suggestions of appropriate market choice. And next, the author examines the approaches of overseas listing, and summarizes the appropriate methods for private enterprises. The author elaborates the overall strategy of overseas listing through the analysis of some cases, and discusses the place, time and mode of listing.
