本协议（以下简称“本协议”）由以下双方于____年____月____日（以下简称“生效日”）在____（签署地）自愿签署，旨在规范双方合作及业务往来过程中保密信息的管理与数据安全的保护事宜，明确双方权利义务，防范保密信息泄露与数据安全风险，保障双方合法权益。本协议依据《中华人民共和国民法典》《中华人民共和国网络安全法》《中华人民共和国数据安全法》《中华人民共和国个人信息保护法》《中华人民共和国反不正当竞争法》及其他相关法律法规订立，双方均应严格恪守履行。

ThisAgreement(hereinafterreferredtoastheAgreement)isvoluntarilysignedbythetwopartieshereto(hereinaftercollectivelyreferredtoastheParties)on____(EffectiveDate)at____(PlaceofSigning).ItaimstoregulatethemanagementofconfidentialinformationandtheprotectionofdatasecurityintheprocessofcooperationandbusinesstransactionsbetweenthetwoParties,clarifytherightsandobligationsofbothParties,preventtheleakageofconfidentialinformationanddatasecurityrisks,andsafeguardthelegitimaterightsandinterestsofbothParties.ThisAgreementisconcludedinaccordancewiththeCivilCodeofthePeoplesRepublicofChina,theCybersecurityLawofthePeoplesRepublicofChina,theDataSecurityLawofthePeoplesRepublicofChina,thePersonalInformationProtectionLawofthePeoplesRepublicofChina,theAnti-UnfairCompetitionLawofthePeoplesRepublicofChinaandotherrelevantlawsandregulations,andbothPartiesshallstrictlyabidebyit.

鉴于：（1）甲方与乙方拟开展________________________（以下简称“合作事项”）或维持长期业务往来关系，为实现合作目标、履行业务职责，一方（以下简称“披露方”）需向另一方（以下简称“接收方”）披露其未公开的保密信息，并向接收方提供或授权其处理相关业务数据；（2）双方均确认，保密信息关乎自身核心商业利益，业务数据（尤其是涉及个人信息、敏感商业数据的内容）的安全与合规处理直接关系到双方的法律责任与商业信誉，任何保密信息泄露、数据泄露、滥用或违规处理行为均可能给相关方造成重大经济损失、法律风险及不可逆的商业信誉损害；（3）为明确保密信息的界定标准、管理规范，数据安全的保护责任、处理规则及风险处置机制，以及双方违约后的责任承担方式，保障合作及业务往来的顺利推进，经双方友好协商，达成如下协议，以资共同信守。
